Company Secretary Job Vacancy: Centum

Job Summary

Legal counsel responsible for provision of company secretarial support and legal advisory services to the Managing Director, Board of Directors and management team on issues of law, compliance and corporate governance. Responsible for the Company’s communication and brand activities.

This position reports to the Managing Director.

Key Responsibilities

Company Secretarial
  • Advise the Managing Director and Board of Directors on issues of law, compliance, corporate governance and the company’s articles of association.
  • Prepare and manage the Board calendar and ensure that all Board and Committee meetings are held in a timely manner.
  • Ensure that Directors Board Packs are prepared to the required level of quality and that they are sent to the Board members in a timely manner.
  • Responsible for managing the communication between the Company and the Capital Markets Authority and the Nairobi Stock Exchange;
  • Responsible for organising and co-ordinating the Annual General Meeting, other shareholder meetings and investor briefings.
  • Ensure annual returns and other statutory filings are done on a timely basis.
  • Responsible for ensuring that all formal communications and announcements between the Company and shareholders are done in a timely manner and comply with the Centum brand.
  • Manage administrative company secretarial duties including payment of dividends and maintenance of the shareholder register.
  • Ensure safe custody of company assets through the Company custodians and other confidential documents.
Legal Advisory
  • Provide transaction support on legal matters to the investment team. This support will include responsibility for reviewing all legal documentation, management of legal due diligence, legal structuring of investments and divestments and liaising with external counsel as and when required.
  • Ensure the Company complies with all regulatory requirements. This will include compliance requirements under the Capital Markets Authority, the Nairobi Stock Exchange, the Companies Act and the laws and regulations of the different jurisdictions that the Company operates in.
  • Review the company’s policies and procedures; standard documentation including contracts, human resources and procurement forms to ensure compliance with legal and regulatory requirements and consistency with industry best practice.
  • Monitor any changes to laws and regulations and advise the Managing Director and the Board on the likely impact and ensure that the Company takes the necessary steps to ensure compliance.
  • Monitor and report on possible areas of compliance risk and implement corrective action plans for the resolution of issues arising.
  • Manage the company’s panel of external lawyers, liaise with them on litigation and conveyance matters and ensure value for money and timely provision of legal advice.
  • Provide leadership and direction on regulatory and ethical business conduct.
Brand & communication
  • Lead all corporate brand initiatives.
  • Coordinate the Company’s Corporate Social Responsibility program.
  • Responsible for preparation of all Company communication materials.
Educational Requirements
  • Bachelor of Law (LLB) from a recognised university.
  • Certified Public Secretary of Kenya - CPS (K).
  • Advocate of the High Court of Kenya.
  • Possession of an accounting or finance professional qualification would be an added advantage.
Required Experience
  • At least five years experience in providing company secretarial & legal services preferably in a financial services institution.
